Pepco to start trading this month on Warsaw SE.....interesting to see what the market thinks about that

it will be interesting to see what value the market will put on Pepco...

I found some information looking definitely Hamilton´s don´t have the 25%. Below the total holding was only 16.8% still allows 8.2% for error margin.

I think that the AGMs are a non-event at this point for most shareholders. This can be seen at the low turn out at the AGM.

We are all waiting on baited breath for the settlement to be finalised and it is in the interest of the Hamilton's of the world to vote against AGM resolutions.

They would always be against additional remuneration for management as its less cash in their pockets regardless of the outcome of these events.

 

Have a look at ownership in the attached document. Majority are individuals like you and I. I certainly did not have the time to attend or vote at the AGM so that might play a role.

Don't you think that without shareholders support at the AGM's will be the final nail in the coffin for SNH. We need to start engaging with management to get this right. Therefore also the share price dropping?

Interesting stats:

 

So Hamilton´s are claiming R 14,163,675,343 and according Ann Crotty there is speculations they have 25% of the shares and can derail the voting.

 

At present SNH shares in issue is 4 269 609 051 therefore 25% is 1 067 402 262 and that means the claim per share is R 13.26 per share which if they view SNH share at R2.45 means the shareholders bought the shares at R 15.71 which is not true. So why would Hamilton´s put a claim for so little???

 

However is the actual representation they have is the 500,000,000 that makes it more interesting a claim of R 28.32 per share taking the R2.45 into account and we have a claim share price of R 30.77 which is now realistic.

 

Anyone with some thoughts on this topic???

Haha I did exactly the same as you and now I have stopped selling to buy low becuase anytime now we can see a big jump if Hamilton concedes.

Am i correct in assuming 5 May is the court date for Hamilton and Co?...and if so we can probably only expect feedback some weeks later assuming judge must 1st think about it.?...

Thanks for your feedback DTD. Really appreciate it. One critical thing i forgot to mention was that through my selling on the highs and buying on the lows, i now own 176000 shares as opposed to my original shareholding of 80 000. The plan is hopefully to try and get to 250 000 shares and then sit tight from there given the risks of selling at a point above which she then shoots up and we miss that opportunity.

Pepkor share price have been rising steadily over the last few weeks.this I very good hopefully they will pay some Div soon. This will also help with paying off debt. Or am I getting it wrong?

The settlement price for the Pepkor shares has already been established. I believe PPH is with atleast R24 once all noise on SNH is done.

Hi woolhoff as you bought shares in 2016 you need to register by the 5th May so you can vote in June. The 5th May is the last date to register claims for voting.

Pepkor share price have been rising steadily over the last few weeks.this I very good hopefully they will pay some Div soon. This will also help with paying off debt. Or am I getting it wrong?

Hi woolhoff I cannot predict the future with 100% certainty (if I had that ability would have had all the money in world) but what you did is exactly what I did which was the idea I had of shorting my own shares.

All I can tell you is what I am doing myself and what I see the future.

Firstly the Hamilton´s only have about 500k shares support which equates to 13% so they have no influence on the voting because required to pass the process is 75%. You can see from the AGM it was clear for me the ones going against approving the financials was them so the Hamilton issue is just noise for me and very sure they going to loose in court. In fact will not surprise me at all if at the last minute they give in. Watch this very close.

Anyway let´s assume SNH sells everything ends up with Eur 1500 corporate debt and keeps only 60% of PEPCO.

With the PEPCO EBITDA a debt of Eur 1500 is reasonable and they could get bonds at cheat interest rates.

The expected value of PEPCO IPO is Eur 6 bil which SNH holding of 60% = Eur 3600 mil and shares in issue are about 4200 mil that gives a NAV per share of Eur 0.85 or R14.82 @ RoE R17.3 to 1 Euro.

So if the predicted PEPCO EBITDA of Eur 1 bil in 5 years materializes then in 5 years time PEPCO should be valued at Eur 14 Bil (because its a fast growing business) and the 60% ownership would be with Eur 8.4 bil and if they sold to 50% would pay off all debt and still have a NAV of Eur 6.9 bil and at 4200 mil shares a NAV per share of Eur 1.64 or R28.42.

The above tells me I mist sit on my hands keep on selling high and buy low and just simply enjoy the ride.


Again this is just my thoughts and not any advise would be interesting to see other people thoughts.

So if Hamilton had 25% why then only bring 13.39 % of the share to the meeting in issue what happened to the other 11.61% ( 25-13.39).
I am quite sure they have only maximum 13% anyway thats my take.
