Thanks Captain I guess you are correct time running very tight so looks like AFS 2018 going to be delayed.

It make total sense if SNH posted the H1-2019 because MF would be deconsolidated and NAV would be looking good.

I just find it strange why SNH has not release a SENS stating the delay.

I wounder if people are aware of the extension because there is no marker reaction?

 

No real reason for another SENS needed.  The delay was due to the volume of amendments or modifications.  They then needed creditor engagements to explain.  Some creditors had further questions and needed more time for their own internal approval process in terms of their delegation of authority.

 

If approval has been received by 29 May, they are still on the same track as if approval was received on 24 May - it is an additional 2 working days.  They may even allow a further two beyond this to 31 May 2019.

 

However, it is the knock-on effect that is the real issue when Steinhoff have to approach the English Courts to formalize the CVA.  This can only be done after the CVA is correctly authorized internally at Steinhoff.

 

My thoughts , is that the folks are REALLY cutting it fine here.  It would be a miracle if they get a Court date and get this through in June.

I had teh same concerns and dug around and then got some feedback from people in the know.  The info given to me was that it was problems mainly with procedural issues rather than substantive issues.  However there were some substantive matters that needed attention which has been agreed around round I beleive.

 

Most of the issues that needed further creditor authorisation were as Steinhoff indicated minor, technical and administrative in nature, and merely needed signature affirming creditor acceptance.

 

The simpler issue

* some additional structuring steps to get around Tax complications

* minor issues with corporate governance

* some issues regarding obtaining authorisation at Steinhoff as to securities provided

* some clarity regarding intra-group loans & intra-group Debt

* minor issues regarding entitlements (the early-bird fees)

* minor issues regarding instructions and time periods etc

 

The more complex:

* Waiver for CRE Clearances to be excluded (which had been previously a condition);

*  Some structuring changes to mitigate Real Estate Transfer Taxes (they have played around with the Control and beneficial interests of Hemisphere)

* some restructuring of SEAG Switzerland which by Swiss law required the physical share certificates to be transferred to the Newco.  Apparently they have mislaid (I kid you not!!!) these share certificates and have now asked for new physical share certificates to be issued.  Apparently it takes up to 9 months.  Until then they cannot transfer the shares to Newco 5.

* 1% of Pepkor Europe to be transferred to Newco 6

* some clarity in respect of Confo restructuring

 

 

There are tons more changes most of which were not included in the CVA but were very minor amendments and simple corrections (names, places, titles, grammar, correction of incorrect structures, etc).  A colleague of mine spoke with some of the creditors who was pretty sure that the CVA3 will be signed by the creditors.  However he said the paperwork was mind-bogglingly vast (and he should know, he is a corporate lawyer).

 

I am confident that the CVA will get authorised - I am less confident that it will be authorised by the extremely demanding and tight timelines expected. 

 

As a precaution, Steinhoff has included an extension of the CVA Long-stop date to 30 June 2019. 

 

I do not think there are any surprises.
